Terms of Service

Grantwell is a software platform that helps nonprofit and grant-funded organisations manage their grants — extracting obligations from award documents, tracking deadlines and deliverables, and organising related financial and reporting information. We may add, change, or remove features over time.

You must provide accurate account information and keep it up to date. You are responsible for safeguarding your credentials and for all activity under your account. You must be at least 18 years old to use the Service. Notify us promptly of any unauthorised use.

• The Service is offered on subscription plans. Paid features require an active subscription.
• Free trials, where offered, convert to a paid subscription unless cancelled before the trial ends.
• Payments are processed by our payment provider (Stripe). By subscribing you authorise recurring charges to your payment method for the applicable fees until you cancel.
• Subscriptions renew automatically for successive periods unless cancelled before the renewal date.
• You may cancel at any time; cancellation takes effect at the end of the current billing period, and you retain access until then. Except where required by law, fees already paid are non-refundable.
• We may change our fees on reasonable notice, effective from your next billing period.

You retain all rights to the data and documents you upload (“Customer Data”). You grant us a limited licence to host, process, and display Customer Data solely to provide and improve the Service and as described in our Privacy Policy. You are responsible for having the necessary rights and permissions to upload Customer Data, and for its accuracy and lawfulness.

Some features use artificial intelligence to read documents and draft records (for example, extracting obligations from an award letter). AI output can be incomplete or wrong. It is provided to assist you, not to replace your judgement. You are responsible for reviewing and verifying any AI-generated content before relying on it.

Grantwell helps you organise grant compliance information, but it does not provide legal, financial, accounting, tax, audit, or other professional advice, and is not a substitute for it. You remain solely responsible for your own compliance obligations, including under your funders’ terms and any applicable regulations. You should seek qualified professional advice where appropriate.

You agree not to:

• use the Service unlawfully, or to store or transmit unlawful, infringing, or harmful content;
• attempt to gain unauthorised access to the Service, other accounts, or our systems;
• probe, scan, disrupt, or overload the Service, or circumvent rate limits or security controls;
• reverse engineer or copy the Service except as permitted by law; or
• resell or provide the Service to third parties except as expressly permitted.

The Service, including its software, design, and content (excluding Customer Data), is owned by us or our licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms.

We aim to keep the Service available but do not guarantee uninterrupted or error-free operation. We may suspend the Service for maintenance, updates, or to protect its security and integrity.

To the fullest extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our total aggregate liability arising out of or relating to the Service will not exceed the amount you paid us for the Service in the twelve (12) months before the event giving rise to the liability. Nothing here limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited by law.

You agree to indemnify us against claims, losses, and costs arising from your Customer Data, your use of the Service in breach of these Terms, or your violation of law or third-party rights.

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you materially breach these Terms or use the Service in a way that risks harm to us or others. On termination, your right to use the Service ends; provisions that by their nature should survive will survive.

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, subject to any mandatory consumer-protection rights you have in your country of residence.

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
